GIN BURCHFIELD COACHING AGREEMENT

1. Parties

This Coaching Agreement ("Agreement") is entered into on the Effective Date by and between Gin Burchfield, PCC, NBCHWC, doing business as Gin Burchfield Coaching ("Coach," "we," "us," or "our"), whose principal office is in Wake County, North Carolina, and __________________________________________ ("Client," "you," or "your"). Coach and Client may each be referred to as a "Party" and collectively as the "Parties."

2. Purpose & Philosophy

My mission is to partner with high‑performing professionals who feel overwhelmed or disconnected so they can heal, reconnect, and lead with joy, peace, and abundance. Coaching is a thought‑provoking, creative process that inspires you to maximize personal and professional potential. You are the expert on your own life; my role is to illuminate options, ask powerful questions, and hold space for sustainable change.

3. Nature of Coaching (Not Therapy, Legal, or Medical Advice)

Coaching is not psychotherapy, counseling, or medical treatment and should not be used in place of such services. No legal, financial, or medical advice is provided. If such expertise is needed, you agree to seek it from a licensed or certified professional. You understand and agree that you are solely responsible for your decisions, actions, and results.

4. Scope of Services

• Sessions: __3___ coaching sessions per month, each up to 60 minutes (online) or up to 90 minutes (in-person), held during the first three full weeks of each month at the mutually agreed‑upon recurring day and time ("Regular Session").

• Between‑Session Support:

  • Email "post‑session recaps" prepared by Client within 24 hours of each session.

  • "Just‑in‑Time Coaching" via email within the coaching portal for urgent questions; telephone support is available for emergencies.

• Private Client Portal: All tools, forms, and resources are provided through a secure portal. You will receive a unique username and password.

5. Coach Responsibilities

I commit to:

1. Partner with you to bring out your best and truest self.

2. Provide a safe, encouraging, confidential environment.

3. Listen deeply, ask clarifying questions, and offer honest feedback.

4. Expand your perspective of what is possible and celebrate your progress.

5. Maintain professional ethics in accordance with the International Coaching Federation (ICF) Code of Ethics and the National Board for Health and Wellness Coaching Code of Ethics.

6. Honor confidentiality as described in Section 8.

6. Client Responsibilities

You agree to:

1. Commit to goals that are meaningful to you and take ownership of your progress.

2. Be open, honest, and willing to explore new perspectives.

3. Complete preparatory and follow‑up exercises and communicate what is or is not working.

4. Provide at least 48 hours’ notice to reschedule a session; sessions cancelled with less notice are forfeited. Cancellations due to emergency may receive coaching via email within the client portal.

5. Remit payment as outlined in Section 7.

7. Fees & Payment

Total Program Fee: $____15900______ for a commitment of __12___ months (the "Program Term").

Payment Options (choose one):

• Option A – Pay in Full: A single payment of $__14250_____ due before the first session. A 10 % courtesy discount has been applied to this option.

• Option B – Monthly Auto‑Pay: __12__ monthly payments of $____1325_______ automatically charged to your authorized card on the 7th of each month.

Late payments are subject to a $25 late fee. Returned checks are subject to penalties allowed by N.C. Gen. Stat. § 6‑21.3.

8. Confidentiality

All information shared during coaching is confidential and will be protected in accordance with North Carolina law and the NBHWC and ICF Code of Ethics, subject to these exceptions: (a) you consent to release; (b) Coach is required by law or professional duty (e.g., subpoena, court order, mandatory reporting of abuse, or imminent harm) to disclose; (c) information that becomes public through no fault of Coach; or (d) Coach’s legal or professional advisors bound by confidentiality. Client testimonials may be used only with your written consent and may be anonymous at your option.

9. Cancellation, Rescheduling & Make‑Ups

If you provide at least 48 hours’ notice, we will reschedule within the same month, subject to Coach availability. Sessions expire at the end of the month and are not banked. If Coach must reschedule, a mutually agreeable alternative will be offered or the session fee credited. Appointments cancelled within 48-hours due to illness or emergency may be received via email within the client portal within one week of the originally scheduled time.

10. Money‑Back Guarantee

Participate fully for the first 30 calendar days. If you feel coaching is not valuable, notify Coach in writing within that period and we will refund fees paid, less sessions already delivered, within 10 business days. After 30 days, fees are non‑refundable. Please see the full guarantee for details on required participation.

11. Term & Commitment

This Agreement begins on the Effective Date and continues for the Program Term of ___ months described in Section 7 (“Program Term”). You understand and agree that enrollment constitutes a binding financial commitment for the entire Program Term; the full Program Fee is due and payable as outlined in Section 7, regardless of your level of participation, except as provided in the Money‑Back Guarantee (Section 10).

Coach reserves the right to suspend or discontinue services if payments are delinquent or if Client materially breaches this Agreement; any outstanding balance remains due. Sections 3, 8, 12, and 13 survive completion or termination of this Agreement.

12. Limitation of Liability & Indemnification

Coach’s liability under this Agreement shall not exceed the total fees paid. In no event shall Coach be liable for consequential or incidental damages. Client agrees to indemnify and hold harmless Coach from any claims arising from Client’s actions or decisions.

13. Governing Law & Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of the State of North Carolina without regard to conflict‑of‑laws rules. The Parties agree to attempt good‑faith negotiation, followed by mediation in Wake County, North Carolina, before initiating litigation.

14. Entire Agreement & Amendments

This Agreement, together with any exhibits or addenda, constitutes the entire understanding of the Parties and supersedes all prior discussions. It may be amended only in writing signed by both Parties.

15. Severability

If any provision is found unenforceable, the remaining provisions will remain in effect.
